ROAI End User License Agreement (EULA)

  1. Introduction

This End User License Agreement (“Agreement” or “EULA”) governs your access to and use of the ROAI platform, a Software-as-a-Service (SaaS) product provided by Elite Digital Technologies (“Company”, “we”, “us”, or “our”). 

By creating an account, accessing the platform, or using ROAI services, you agree to be bound by this Agreement. 

If you are using ROAI on behalf of a company or organization, you represent that you have authority to bind that entity to this Agreement. 

 

  1. The Service

ROAI is a cloud-based AI analytics platform that: 

  • Connects to customer systems such as CRM, ERP, accounting, and other business applications 
  • Generates AI-powered insights, summaries, KPIs, trends, and analytics 
  • Provides a conversational interface allowing users to ask questions about their business data 

ROAI stores AI-generated insights and associated metadata within the customer’s secure tenant environment. 

 

  1. License Grant

Subject to compliance with this Agreement and payment of applicable fees, the Company grants you a limited, non-exclusive, non-transferable, revocable license to access and use the ROAI platform for your internal business purposes during your subscription term. 

This license does not grant ownership of the software. 

 

  1. Account Responsibilities

Users are responsible for: 

  • Maintaining the confidentiality of account credentials 
  • Ensuring only authorized users access the account 
  • Providing accurate account information 
  • Notifying the Company immediately of suspected unauthorized access 

You are responsible for activities performed under your account. 

 

  1. Customer Data Ownership

You retain full ownership of all data you provide to ROAI (“Customer Data”). 

Customer Data may include: 

  • CRM or ERP data 
  • Customer or lead records 
  • Financial data 
  • Business operational data 
  • Uploaded datasets 

The Company receives a limited right to process Customer Data only for the purpose of: 

  • Providing ROAI services 
  • Generating AI insights 
  • Maintaining platform functionality 
  • Providing support and security 

The Company does not sell Customer Data. 

 

  1. AI Features and Third-Party AI Services

ROAI uses external AI processing services including the OpenAI API to generate insights and conversational outputs. 

When AI processing is required: 

  • Only the minimum necessary information is transmitted 
  • Data is protected using encryption 
  • API data is not used to train AI models by default 

OpenAI may retain limited abuse-monitoring logs for up to 30 days unless legally required to retain longer.  

Users should review AI outputs before relying on them for business decisions. 

 

  1. Acceptable Use

You agree not to: 

  • Attempt to access data belonging to other tenants or customers 
  • Circumvent platform security mechanisms 
  • Upload unlawful or unauthorized data 
  • Use the platform for spam, fraud, malware, or illegal activities 
  • Reverse engineer or attempt to extract ROAI’s source code or AI models 

Violation may result in account suspension or termination. 

 

  1. Security

ROAI implements multiple security controls including: 

  • Tenant isolation between customers 
  • Encryption in transit and at rest 
  • Role-based access control (RBAC) 
  • Secure API integrations 
  • Audit logging of administrative activities 
  • Encrypted backups 

ROAI is hosted on Microsoft Azure cloud infrastructure. 

These safeguards are designed to protect Customer Data from unauthorized access or disclosure. 

 

  1. Data Retention and Deletion

ROAI retains data only as long as necessary to provide the service. 

Typical retention periods include: 

  • AI insights and analytics: while the account is active 
  • Conversation history: up to 180 days (if enabled) 
  • Audit and security logs: up to 12 months 
  • Backup data: approximately 35 days 

Upon account termination: 

  • Customer data may remain available for 30 days for export 
  • After that period, data is deleted from active systems 
  • Backup copies expire automatically within the backup retention window.  

Customers may request deletion at any time. 

 

  1. Fees and Subscriptions

Certain ROAI features require a paid subscription. 

Users agree to: 

  • Pay all applicable fees 
  • Provide accurate billing information 
  • Pay applicable taxes 

Fees are non-refundable unless required by law. 

Failure to pay may result in suspension of the account. 

 

  1. Suspension or Termination

The Company may suspend or terminate access if: 

  • The Agreement is materially breached 
  • Security risks are detected 
  • Fees are unpaid 
  • The platform is used unlawfully 

Users may stop using the service at any time. 

 

  1. Disclaimer of Warranties

ROAI provides AI-generated outputs, which may contain inaccuracies or incomplete information. 

The platform is provided “as is” and “as available.” 

The Company does not guarantee that: 

  • Outputs will always be accurate 
  • The service will always be uninterrupted 
  • AI insights will be suitable for every business decision 

Users should independently verify AI outputs before relying on them. 

 

  1. Limitation of Liability

To the maximum extent permitted by law, Elite Digital Technologies will not be liable for: 

  • Indirect damages 
  • Loss of profits 
  • Loss of data 
  • Business interruption 
  • Consequential damages 

Total liability related to the service will not exceed the fees paid by the customer in the three months preceding the claim.  

 

  1. Governing Law

This Agreement is governed by the laws of the State of Florida, United States, without regard to conflict of law rules. 

Any disputes shall be resolved in the courts located in Orange County, Florida. 

 

  1. Changes to this Agreement

The Company may update this Agreement from time to time. 

Material changes will be communicated through: 

  • Email notification 
  • Website notice 
  • In-product notification 

Continued use of ROAI after updates constitutes acceptance of the revised Agreement.
